Terms of Use

This Terms of Use Agreement ("Agreement") is a legal agreement between you and Mk-Works LLC governing your use of Groovy Loopz for iOS devices. By downloading, accessing, or using the App, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms of this Agreement, do not download, access, or use the App.

  • License to Use the App. Subject to your compliance with this Agreement, Mk-Works LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, access, and use the App on your iOS device for your own personal, non-commercial use.

  • Ownership. The App and all intellectual property rights in and to the App are and will remain the sole and exclusive property of Mk-Works LLC and its licensors. The App is licensed, not sold, to you. You do not acquire any ownership interest in the App or any other intellectual property rights by downloading, accessing, or using the App.

  • User Content. The App may allow you to create, upload, post, send, receive, and store content, including but not limited to text, photos, videos, audio, and other materials ("User Content"). You are solely responsible for all User Content that you create, upload, post, send, or store through the App.

  • User Conduct.  You agree that you own the rights/have permission from the owner to use any audio content imported using this app. Please respect the rights of artists & creators. You agree to use the App only for lawful purposes and in accordance with this Agreement. You agree not to use the App to:

    • Violate any laws or regulations

    • Infringe on the intellectual property rights of Mk-Works LLC or any third party

    • Harm or harass any other person or entity

    • Transmit any viruses or other harmful or malicious code

    • Interfere with or disrupt the App or the servers or networks connected to the App

  • Modification and Termination of the App. Mk-Works LLC reserves the right to modify, suspend, or discontinue the App at any time without notice to you. Mk-Works LLC also reserves the right to terminate your access to the App at any time without notice to you if you violate this Agreement or for any other reason in Mk-Works LLC's sole discretion.

  • Disclaimer of Warranties. THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. Mk-Works LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Mk-Works LLC DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

  • Limitation of Liability. IN NO EVENT WILL Mk-Works LLC BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF Mk-Works LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  • Indemnification. You agree to indemnify and hold Mk-Works LLC and its affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party

Mk-Works LLC ("us", "we", or "our") operates the Groovy Loopz mobile application (the "Service").
